These Terms of Service ("Terms") are a legal agreement between you and Nexus Applications LLC ("Nexus Applications," "we," "us," or "our") governing your use of the Sofya mobile application and related services (together, the "App"). By creating an account or using the App, you agree to these Terms. If you do not agree, do not use the App.
You must be at least 13 years old to use the App (or the higher minimum age required in your country). If you are under 18, you may use the App only with the consent of a parent or legal guardian. By using the App, you represent that you meet these requirements.
You need an account to use Sofya. You may register with an email address and password or by signing in with Google. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity that occurs under your account. Notify us promptly at gamalieldorcin1@gmail.com if you suspect unauthorized use of your account.
Sofya is a productivity app for managing tasks, habits, and goals. It includes focus sessions, calendar synchronization, analytics, and AI-powered features, including a conversational assistant and proactive AI agents that can send you planning tips, habit reminders, and weekly summaries. AI agents can be turned on or off at any time in the App's Settings.
Sofya's assistant and agents generate content using artificial intelligence. AI-generated content may be inaccurate, incomplete, or unsuitable for your situation. It is provided for informational and organizational purposes only and is not professional, medical, mental-health, financial, or legal advice. You are responsible for evaluating any suggestion before acting on it. To provide these features, relevant content (such as your messages to the assistant and summaries of your tasks, habits, and goals) is processed by our AI service provider as described in our Privacy Policy.
You own the content you create in Sofya — your tasks, habits, goals, notes, and messages ("Your Content"). You grant us a limited license to host, store, process, and display Your Content solely to operate and improve the App and provide its features (including AI features). We do not sell Your Content. You can export Your Content from the App's Settings at any time.
You agree not to:
The App, including its design, code, name, logo, and all content we provide (excluding Your Content), is owned by Nexus Applications LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.
The App relies on third-party services, including Firebase (Google) for authentication and data storage, Anthropic for AI processing, RevenueCat for subscription management, and Apple/Google for distribution and billing. Your use of those services in connection with the App may also be subject to their own terms and policies. We are not responsible for third-party services.
You may stop using the App and delete your account at any time from Settings › Profile in the App, or by following the steps on our account deletion page. Deletion is permanent. We may suspend or terminate your access if you materially violate these Terms, if required by law, or if we discontinue the App; where practical, we will provide reasonable notice so you can export Your Content. Sections that by their nature should survive termination (including Sections 6, 8, 11, 12, and 13) survive.
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR RELIABLE. YOU USE THE APP AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXUS APPLICATIONS LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE APP. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE APP WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE APP IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR (B) FIFTY US DOLLARS (US $50). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
You agree to indemnify and hold harmless Nexus Applications LLC and its owner from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the App.
We may update the App and these Terms from time to time. If we make material changes to these Terms, we will provide notice (for example, in the App or by updating the "Last updated" date above with reasonable advance posting). Your continued use of the App after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-law rules. Any dispute that cannot be resolved informally shall be brought in the state or federal courts located in Florida, and you consent to their jurisdiction. Nothing in this section limits any non-waivable consumer rights you may have under the laws of your place of residence.
These Terms are between you and Nexus Applications LLC only — not with Apple Inc. or Google LLC. Apple and Google have no obligation to provide support or maintenance for the App and are not responsible for addressing claims relating to it. Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to your use of the iOS version of the App and may enforce them against you.
